1. Definitions

For the purposes of these Terms:

Dealable24 operates a curated marketplace environment intended to help Users explore company acquisition and sale opportunities, particularly in regulated sectors (including fintech, payments, crypto, and related fields).

Any such support is provided only upon explicit request and may require separate terms, engagement documentation, and/or written confirmation.

2.3. Unless expressly agreed in writing, Dealable24 does not act as an escrow agent, payment intermediary, broker-dealer, investment firm, law firm, or fiduciary.

2.4. Dealable24 may refuse to provide Services, respond to an Inquiry, publish a Listing, or continue communications with any User at any time, in particular where compliance, integrity, reputational, or legal risks are identified.

3. No Brokerage, No Agency, No Fiduciary Relationship

3.1. Dealable24 is not a party to any transaction between Users. Dealable24 does not represent buyers or sellers by default and does not act as an agent for either party unless expressly agreed in writing.

3.2. Use of the Website does not create any brokerage, advisory, fiduciary, partnership, employment, or agency relationship between Dealable24 and any User.

3.3. Users remain solely responsible for all decisions, actions, and outcomes relating to any potential transaction, including due diligence, negotiations, legal documentation, regulatory approvals, and closing.

4. Listings, Information Disclaimer, and No Reliance

4.1. Listings and any other content on the Website may be based on information provided by Third Parties and/or compiled from multiple sources. Unless explicitly stated otherwise, Dealable24 does not guarantee that Listings are complete, accurate, current, or suitable for any particular purpose.

4.2. The Website does not constitute an offer, solicitation, or recommendation to buy or sell any company, security, financial instrument, or regulated product.

4.3. Users must not rely on the Website content as legal, regulatory, financial, tax, or investment advice. Any reliance on information from the Website is at the User's sole risk.

4.4. Any timelines, licensing expectations, "readiness" statements, or potential outcomes are indicative only and may depend on Third Party actions and regulator decisions.

5. Inquiries and Communications

5.1. By submitting an Inquiry, you confirm that the information provided is true and accurate to the best of your knowledge and that you are authorised to provide it.

5.2. Dealable24 may contact you using the contact details you provide, for the purpose of responding to your Inquiry and discussing potential cooperation or opportunities.

5.3. Dealable24 may implement controlled information exchange between parties (e.g., introductions, Q&A, document sharing) where relevant. Any disclosure between parties may require additional confidentiality arrangements (e.g., NDA) and may occur only after Dealable24's internal review, at its discretion.

5.4. Dealable24 may keep internal records of communications for operational, compliance, and legal purposes.

6. Confidential and Sensitive Information

6.1. Dealable24 does not request or require the submission of confidential documents, special category personal data (within the meaning of Article 9 GDPR), financial account details, or information subject to professional secrecy.

6.2. Any submission of such information is voluntary and made solely at the sender's own risk and responsibility. Users must not submit such materials unless Dealable24 explicitly requests them and provides an agreed secure channel for delivery.

6.3. Users are responsible for ensuring that any information they share does not unlawfully disclose Third Party confidential information and does not breach contractual, legal, regulatory, or professional secrecy obligations.

7. User Obligations and Prohibited Use

Users agree not to:

• use the Website for unlawful purposes or in violation of applicable laws
• submit false, misleading, defamatory, or infringing information

• any damages arising from communications or data shared between Users

10.3. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Dealable24 from and against any claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• your breach of these Terms
• your unlawful use of the Website
• your violation of Third Party rights (including confidentiality, IP, or data protection rights)
• any content or information you submit via the Website

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Poland.

Any disputes arising out of or relating to these Terms or the use of the Website shall be subject to the exclusive jurisdiction of the competent courts in Poland, unless mandatory provisions of law provide otherwise.

13. Changes to the Terms

Dealable24 may update these Terms from time to time. The current version will be published on the Website and will indicate the date of the latest update. Continued use of the Website after changes become effective constitutes acceptance of the updated Terms.
